Welcome to MeekyStore.co.zw (the "Platform", "Website", or "Service"). These Terms of Service and Conditions of Use ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User", "Customer", "Buyer", "Vendor", or "You"), and MEEKY STORE PTY LTD, a company duly incorporated under the laws of the Republic of South Africa (registered with the Companies and Intellectual Property Commission – CIPC) ("Company", "MeekyStore", "Operator", "We", "Us", or "Our"). By accessing, browsing, registering an account, purchasing products, utilizing digital utilities, or engaging global sourcing features on MeekyStore.co.zw, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

You acknowledge and understand that the Platform operates under a multi-entity cross-border structure: • Platform Operator: MEEKY STORE PTY LTD (South Africa) maintains, controls, and operates the digital infrastructure, web applications, backend databases, user accounts, vendor portals, software algorithms, and payment routing logic. • Logistics & In-Country Fulfillment Partner: MPX Global Zimbabwe ("MPX Global", "Logistics Operator") operates as the exclusive local logistics agent responsible for cross-border freight forwarding (air and sea), customs brokerage, Harare central warehouse operations, local pickup hub networks, pay-on-delivery collection, and last-mile door-to-door delivery within Zimbabwe. • Independent Vendors: Third-party sellers operating independent digital "Booths" or storefronts on MeekyStore who list, sell, and fulfill products to buyers through the Platform.

To access certain features of the Platform—including placing orders, creating vendor booths, or purchasing digital utility services—you must register for an account. By registering, you represent and warrant that: • You are at least 18 years of age, or accessing the Platform under the direct supervision and consent of a parent or legal guardian. • All information you submit during registration—including legal name, contact phone number, physical delivery address, and email address—is accurate, current, and complete. • You will maintain and promptly update your account details to ensure accuracy.

You are solely responsible for maintaining the confidentiality of your account password, API keys, and authentication credentials. You accept full responsibility for all activities, purchases, and contractual commitments that occur under your account. You agree to notify MeekyStore immediately at [email protected] of any unauthorized use or security breach. Neither MEEKY STORE PTY LTD nor MPX Global Zimbabwe shall be liable for losses resulting from compromised credentials.

For international freight, customs clearance, high-value electronics purchases, or wallet transactions, MeekyStore and MPX Global Zimbabwe reserve the right to request proof of identity (National ID card or Passport) and tax registration documentation (e.g., ZIMRA TIN/BP numbers) to comply with South African, Zimbabwean, and international anti-money laundering (AML) and trade laws. Failure to provide required KYC documentation may result in order suspension or cancellation.

Prices on MeekyStore.co.zw are quoted primarily in United States Dollars (USD). Depending on user preference or local market regulations, prices may also be displayed or settled in Zimbabwe Gold (ZiG) or South African Rand (ZAR). Exchange rates displayed on the Platform are updated periodically to reflect commercial market rates and cross-border currency conversion costs. MeekyStore reserves the right to adjust prices dynamically based on underlying foreign supplier adjustments, currency volatility, or statutory tariff updates prior to final payment confirmation.

Online transactions are processed securely through certified third-party payment gateways (including Pesepay), mobile money platforms (EcoCash, OneMoney), electronic funds transfers (EFT), and direct bank deposits. • Merchant Authorization: By submitting payment credentials, you authorize MeekyStore and its designated payment processors to charge the full order amount, including applicable shipping fees and taxes. • Failed Transactions: MeekyStore is not liable for delayed order processing resulting from bank declines, mobile wallet balance insufficiencies, or network outages on payment gateways.

• Local Stock (50% Deposit / COD): Select local inventory situated at our Harare warehouse may be eligible for a 50% upfront deposit, or Cash on Delivery (COD) where the customer pays the local city courier fee online at checkout and the product balance is due in cash upon physical delivery. • Import-on-Order (50% Minimum Deposit): Items requiring international procurement and custom freight routes must be paid at a minimum 50% commitment deposit (or 100% full payment) online prior to purchasing from overseas vendors. COD is strictly disabled for imports. • Default on Balance: If a buyer fails to settle the remaining balance within 14 calendar days of an item arriving at the Harare pickup hub, MeekyStore and MPX Global reserve the right to repossess the item, liquidate stock, and retain a 20% restocking fee from the deposit.

MeekyStore provides direct API interfaces allowing users to purchase digital utilities, including ZETDC (ZESA) electricity tokens, DStv bill settlements, mobile airtime, EcoSpot Wi-Fi bundles, IMEI phone unlocking services, and digital gift cards (iTunes, Google Play, PlayStation, Steam).

• Meter & Account Accuracy: You are strictly responsible for verifying the accuracy of the ZETDC meter number, DStv smartcard number, or mobile phone number entered at checkout. • Finality: Once an API callback triggers successful generation of an electricity token, bill payment credit, or digital code, THE TRANSACTION IS FINAL AND NON-REFUNDABLE. Neither MEEKY STORE PTY LTD nor MPX Global Zimbabwe can reverse or credit tokens issued to an incorrect meter or account number provided by the user. • Utility Outages: In the event of a ZETDC or service provider network failure where payment is deducted but token issuance fails, our automated system will attempt reprocessing. If reprocessing fails, the funds will be credited to your MeekyStore digital wallet or refunded to your original payment channel within 48 business hours.

MeekyStore provides an automated procurement and import system for goods from foreign supplier networks (e.g., China, Dubai, USA). The system generates estimated Landed Costs into Zimbabwe. Landed cost estimations include foreign purchase cost, currency conversion margins, estimated international air/sea freight, handling fees, and estimated customs duties. • Final Customs Adjustment: Actual import duties are assessed by the Zimbabwe Revenue Authority (ZIMRA) upon arrival at port of entry. Should ZIMRA revalue a cargo consignment higher than estimated based on official valuation tariffs, the customer remains responsible for settling the statutory duty differential before cargo release.

All international freight, customs clearance, and local handling are executed by MPX Global Zimbabwe. Billing Calculation: Cargo is billed based on the greater of Actual Gross Weight (kg) or Volumetric (Dimensional) Weight (kg), calculated as: Volumetric Weight (kg) = [Length (cm) × Width (cm) × Height (cm)] / 6000 • Transit Timelines: Estimated delivery timeframes (e.g., Express Air 12–48h for local stock, Standard Air Freight 7–14 days, Sea Freight 30–45 days) are operational estimates. MPX Global Zimbabwe is not liable for logistics delays caused by airline flight cancellations, port congestion, customs physical inspections, or bad weather.

You warrant that any item requested for procurement or import does not violate South African, Zimbabwean, or international customs laws. Prohibited items include, but are not limited to: narcotics, firearms, ammunition, explosives, counterfeit currency, toxic chemicals, live animals, and hazardous materials. Prohibited goods tendered for shipping will be confiscated, and the sender/consignee reported to relevant law enforcement agencies.

MeekyStore operates as a multi-vendor marketplace allowing third-party sellers to set up "Booths", list items, and engage with buyers. • Independent Contracting: Vendors operate as independent contractors and are not employees, partners, or legal representatives of MEEKY STORE PTY LTD or MPX Global Zimbabwe. • Product Authenticity: Vendors guarantee that all products listed in their Booths are authentic, legal, free of encumbrances, and accurately described.

MeekyStore deducts an agreed marketplace commission percentage from each successful sale completed via Pesepay or integrated checkout channels. Vendor payouts are credited after buyer order receipt confirmation or the lapse of the 48-hour inspection window, subject to marketplace payout schedules.

For items fulfilled directly from Harare local warehouse stock or local vendors: • Buyers must inspect items immediately upon pickup or delivery. • Any defect, cosmetic damage, missing component, or functional issue must be formally reported to [email protected] within 48 hours of receipt. • Approved return items must be delivered to an official MPX Global / MeekyStore pickup hub in their original packaging with all accessories.

For goods imported via global sourcing: • Factory warranties are governed by the foreign manufacturer or supplier in the country of origin. MeekyStore and MPX Global offer inspection services at foreign warehouses prior to international shipping upon request. • Returns for international items require shipping back to the origin factory at the buyer's expense, unless pre-shipment damage was verified as occurring in MPX Global custody.

All platform assets—including software code, user interface designs, database schemas, graphics, trade names, "MeekyStore" branding, logos, and AI calculation algorithms—are the exclusive intellectual property of MEEKY STORE PTY LTD and protected by South African, Zimbabwean, and international intellectual property legislation. You are granted a limited, non-exclusive, non-transferable license to access the Platform for personal or internal business purchasing. You may not copy, reverse engineer, scrape, frame, adapt, or commercially exploit any part of the Platform without express written authorization from MEEKY STORE PTY LTD.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEEKY STORE PTY LTD, MPX GLOBAL ZIMBABWE, THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR UTILITY OUTAGE LOSSES) ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless MEEKY STORE PTY LTD, MPX Global Zimbabwe, and their respective officers, directors, agents, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Platform, or violation of statutory customs regulations.

• Software & Digital Operations: Platform operations, user account management, software licensing, and digital intellectual property are governed by the laws of the Republic of South Africa. • Logistics & Trade Fulfillment: Physical logistics, freight forwarding, local warehousing, payment processing in Zimbabwe, and doorstep fulfillment are governed by the laws of the Republic of Zimbabwe.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiations between the parties. If unresolved within 30 days, the dispute shall be referred to binding arbitration under the rules of the relevant jurisdiction (Arbitration Foundation of Southern Africa – AFSA or the Commercial Arbitration Centre in Harare).

MeekyStore reserves the right to suspend or terminate your account, restrict access to the Platform, or cancel pending orders at its sole discretion, without prior notice, for conduct that violates these Terms or applicable laws.

We reserve the right to update these Terms at any time. Changes become effective immediately upon publication on MeekyStore.co.zw. Your continued use of the Platform following updates constitutes agreement to the amended Terms.
